If he is really dead my money would be on The Winter Soldier a.k.a. James Buchanan Barnes a.k.a. Bucky.
HOWEVER my theory is that he`s not dead , it`s a blind (set up between him and Nick Fury) so that he can work undercover.
Is it me or is the assassination coming so soon after a new Ronin has made an appearance in New Avengers a coincidence ?

IF he has really been assassinated by a sniper`s bullet then Marvel should be ashamed of itself - Cap is the ONLY good thing about America.

I have to agree, I hope Cap is not really dead, or that they bring him back, soon. It is all the editors fault鈥?I don鈥檛 know of too many people who don鈥檛 like Captain America, and those who don鈥檛 are of the school that all heroes ought to be dark, mean sob鈥檚.
Captain America was a gentleman a true hero鈥檚 hero. If he said something, it was true, and if he made a promise, his worst enemy could trust it!
We need men like him, now more than ever.
We may not have a shield and the super soldier serum, but we can all stand up for what it right, good, honest, decent and true. We don鈥檛 need the red white and blue costume. Let鈥檚 ALL be moral heroes, in honor of Captain America!

The first person that answered is correct. It was a plan set up by the Red Skull. But if you read the comic "The Initiative" one-shot, there is a pretty big hint about Cap in there. I am not going to spoil it for anyone, so go pick up the books and while your at it, pick up the Civil War TPB's so you can find out how it led to this.
In the 2006 Civil War crossover, Captain America opposes mandatory federal registration of all super-powered beings and leads the Anti-Registration faction and resistance movement. He becomes a fugitive and opposes the heroes of the Pro-Registration movement, including his former friend Iron Man. He adopts the alias "Brett Hendrick", a mall security guard, to avoid government detection.[37] As the War continues, Rogers becomes more and more extreme in his desire to win, including allowing the Punisher to join his "Secret Avengers," (though he does not condone the man's willingness to kill) and working (albeit reluctantly) with the Kingpin.[38] At the climax of a battle between Registration and resistence proponants, realizing that his fight against the Registration Act is endangering civilians, he removes and drops his mask to surrender as Steve Rogers. He gives the anti-Registration side the order to stand down. As Captain America is led away, the Punisher picks up the discarded mask.
While entering a Federal Courthouse, Steve Rogers is shot in the shoulder by a sniper. In the ensuing crowd chaos, he is shot three times in the stomach and chest with a handgun, and later dies of his injuries in an ambulance.[39] It is discovered that the assassination was orchestrated by the Red Skull; Crossbones was the sniper and Dr. Faustus had hypnotized Sharon Carter into shooting Rogers in the stomach.
While Captain America appears to be genuinely dead, in Civil War: The Initiative, Ms. Marvel tells Spider-Woman (Jessica Drew) that Captain America is not dead but "...tucked away safe on the Raft... They're trying to save his life even as we speak." It is unclear whether Ms. Marvel is misguided, intentionally lying, telling the truth or simply in denial. On March 7, CNN and other news organizations reported the death of Captain America. Marvel later confirmed the death on its website
I read the book Cap was killed on orders from the Red Skull he was initially shot in the solder by some guy named crossbones when his cover was blown by bucky he ran and was captured with help from the black falcon, there was a sheild agent present(I forgot her name) and when she ran to help cap out there was a Skull agaent by the name of Sin who apparently can control others and forced the shield agent to shoot cap at point blank range in the chest 3 times, he was apparently pronounced dead upon arrival at the hospital
Having read the issue, here's what happened...
He was being escorted to the courthouse for the beginning of his trial when he saw a laser sight on the back of one of the police officers escorting him. Cap shoved the cop out of the way and took the bullet for him. While he was down, an unknown assassin shot him twice at point-blank range in the stomach and chest. Sharon, his ex, was with him. An ambulance was called, but he was pronounced DOA at the hospital. While at the hospital it was revealed that Sharon was the unknown assassin - she had been brainwashed into doing it by Red Skull. Bucky and the Falcon teamed up and took out Crossbones, who was the sniper, but they didn't make it to the hospital in time.
Nick Fury did have a plan in place, and that's why Sharon, Falcon and Bucky were there at the shooting - they were planning to help bust Steve out, and at first they thought the sniper was part of the plan until Fury told them otherwise.
My guess is that they'll try to give us a hip, young, edgy Cap, since they don't learn from history. Then when the sales fall they'll bring Steve Rogers back. I'm betting that in the meantime either Bucky or Frank Castle ends up wearing the uniform, at least for a while (although I think Bucky would go ballistic if he caught Frank doing it). And there's also Eli/Patriot as a possibe temporary Captain America, although that would kind of be rehashing his grandfather's story.
